Last updated: 16 August 2025 · Version 1.0

These terms (“Terms”) cover your use of Site Sentinel (the “Services”). You accept these Terms by creating a Site Sentinel account, by using the Services, or by continuing to use the Services after being notified of a change to these Terms. We recommend you read, print, and save a copy of these Terms for your records. “We”, “Us” and “Our” refer to the company operating Site Sentinel. We will provide the Services in accordance with these Terms and Conditions as outlined below.

We offer non-exclusive services in various jurisdictions to improve products by means of data analysis, reviews and various optimizations for a general improvement of each Client's offerings, tailored to each Client's needs. In accepting these Terms, it is understood that you wish to avail of the Services in order to improve your overall content and product.

1. Definitions and Interpretation

In these Terms, unless the context requires otherwise: “Terms and Conditions” means these terms together with any appendices and attachments; “Applicable law” means any domestic or foreign statute, law, ordinance, rule, regulation, order or other requirement of any Regulatory Authority that applies to any of the Parties; “Confidential Information” means all information relating to the business, affairs, products, developments, trade secrets, know-how, personnel, customers and suppliers of either Party; “Effective Date” means the date on which these Terms have been accepted by You; and “Intellectual Property Rights” means rights to all existing and future patents, trademarks, design rights, service marks, trade names (including domain names), registered designs, copyrights, moral rights, database rights, know-how and trade secrets throughout the world.

2. Scope

You agree to use our Services according to these Terms, which must be accepted prior to availing of the Services. We shall provide the Services which You select, and undertake to provide them in an efficient and timely manner. You undertake to provide Us with all necessary information to assist in the provision of the Services. You acknowledge that the Services shall in no manner provide any guarantee of any result or improvement to your business. You shall be solely responsible for maintaining all licenses necessary for the operation of your business.

3. Services

The Services encompass the generation of automated notifications and alerts through our proprietary technology, which leverages your data as input. These alerts inform you of potential system issues and opportunities, including but not limited to Domain Events — promptly notifying you when your domain gets blacklisted or blocked from access. The Services are optional, and you may select individual Services or the full package. Should you require additional services, you shall submit a written request; upon our written confirmation, an addendum shall be entered into. Additional work is charged at €80 per hour or priced per project as agreed in writing.

4. Liability

In no event shall We be liable for any loss of business, profits, anticipated savings, data, or for any indirect or consequential loss whatsoever. Excluding breaches relating to confidentiality, data protection and intellectual property, our total liability to you, whether for negligence, breach of contract, misrepresentation or otherwise, will in no circumstances exceed €50,000. You declare that you will not hold Us liable for any loss of your data. We make no representations or warranties about the completeness, accuracy, reliability, suitability or availability of the data provided, and encourage you to verify any critical information. You agree this is a data and notification service and shall not be used as a tool for circumvention of any regulatory matters.

5. Fees

We shall invoice you for all Services rendered in accordance with the fees and payment terms specified in Schedule 1. You undertake to effect all payments due within ten (10) business days from issuance of any invoice. In the event of non-payment, We shall notify you in writing; should the amount remain due seven (7) days after notification, you shall be in default, constituting a material breach. Payments outstanding more than thirty (30) days entitle Us to take necessary legal action. All payments are non-refundable.

6. Intellectual Property

All rights and interests in any software, hardware, proprietary techniques, technology, databases, documentation, code and logic comprising the Services shall remain Our sole property. You agree to defend and indemnify Us against any third-party claim arising from your violation of these Terms, any applicable law, or any third-party right including any intellectual property, publicity, confidentiality or privacy right.

7. Onboarding

To ensure a secure data environment and optimized onboarding, the Service may be provided via trusted cloud marketplace partners. By accepting these Terms, you agree that We may share the information you provide with such partners in order for the Service to function as intended. Following acceptance, our team will reach out with a Customer Onboarding Form requesting information about your company and setup requirements. To complete account setup, access may need to be granted to our development team.

8. Term and Termination

Upon acceptance, the term commences and remains in force for one year (the “Term”), with automatic one-year renewals unless written notice of account closure is provided not less than three (3) months in advance. We may terminate immediately if you commit a substantial material breach not remedied within fifteen (15) days of written notice, if you become insolvent or bankrupt, or if We determine the Services are no longer commercially feasible.

9. Warranties

By agreeing to these Terms, you warrant not to: do anything illegal; exploit, harm or threaten to harm children; send spam or engage in phishing; display or share inappropriate content; engage in fraudulent, false or misleading activity; circumvent restrictions on access to the Services; engage in activity harmful to you, the Services or others; infringe upon the rights of others; violate the privacy of others; or help others break these rules.

10. Updates to the Services or Terms

We will inform you if we intend to change these Terms, where necessary due to applicable law, the evolution of the Services, technical reasons, operational requirements, or an advantageous change for the user. We will notify you before any change takes effect and provide the opportunity to cancel the Services at least thirty (30) days beforehand. Continuing to use the Services after changes become effective means you agree to them. We continuously work to improve the Services and may change or remove features at any time, notifying you in advance where a change would cause you to lose access to your content.

11. Confidentiality

You acknowledge that you may receive Confidential Information of Us. Confidential Information remains Our exclusive property; you may neither disclose it to any third party (except to fulfil legal obligations or on a strict need-to-know basis to sub-contractors) nor use it except as required to perform your obligations. You shall be responsible for any breach caused by your personnel, consultants, sub-contractors and board members. This clause survives for twenty-four (24) months after closure of your account.

12. Miscellaneous

You shall not actively recruit or solicit any employee of Us or Our affiliates. In case of conflict between these Terms and other agreements, these Terms shall supersede. Any amendments shall be agreed in writing. If any clause is found illegal, invalid or unenforceable, the remainder of the Terms shall not be affected. We shall be entitled to suspend performance in the event of Force Majeure beyond our reasonable control. No failure or delay to enforce any provision acts as a waiver.

13. Applicable Law and Dispute Resolution

These Terms shall be governed and interpreted in accordance with the laws of Malta. Any and all disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Courts of Malta.

14. Final Provisions

Headings are for reference only and do not define or limit the scope of these Terms. All notices shall be properly given if sent by registered mail or e-mail. The invalidity or unenforceability of any provision shall not affect the validity of any other provision.
